New Tax Administration Era in China

Tax Compliance: New Tax Administration Era in China

The robust Tax Risk Control put in place will make good business sense. It will limit the risk of unwelcome 'surprises' to management, and enterprises financial statements will have greater certainty in terms of material tax risks and liabilities. The SAT issued Guidance on Tax Risk Management of Large enterprises in May 2009, Guoshuifa No. 90. Following the circular, the SAT released Measures of Taxation Service and Administration for Larger Enterprise, Guoshuifa No. 71 in 2011, which heralds a new era in the relationship and management of taxes in China, built on the concept of mutual trust between business taxpayers and tax officials, under the framework of Tax Compliance Agreements (TCAs). Today KPMG will discuss with you how this new treaty helps large enterprises in dealing with tax authorities.

About the speakers:
Tracy Zhang is a PRC regulatory and tax expert on China investment related issues. Tracy joined KPMG Beijing office in 1996. She also worked with International Corporate Tax practice in KPMG New York and Financial Service practice in KPMG London respectively. She has also been involved in developing structures for foreign investor’s investments into China, tax due diligences reviews in connection with M&A transactions and advising on cross border transactions.

Lachlan Wolfers is leader of KPMG’s Centre of Excellence for Indirect Taxes in China (based in Shanghai) since 2011, and prior to that, he was the leader of KPMG’s Indirect Taxes and Tax Controversy practices in Australia. Lachlan has managed a substantial tax litigation practice, including conducting the first substantive GST case in Australia. In his current role, Lachlan is also very involved in advising clients in China in relation to Tax Compliance Agreements and similar administrative measures.

Facing the Chinese media

The French Chamber of Commerce and the China Institute are delighted to invite you to a breakfast conference on the topic:

Facing the Chinese media: communication strategies for companies

The CCIFC is happy to organize a discussion breakfast with the China Institute. It will be dedicated to the interaction between the Chinese media and companies. What are the best ways to react when asked by the media for some information? How to be pro-active and take the best from media coverage?

Two experienced consultants will make presentations about this topic. Olivier Ruelle is French and has been living in China since 1997. He is currently working as a PR consultant for Ruder Finn. William Zhang is a Chinese media consultant for 9-Power Media & Communications. Both of them know the Chinese media from the inside since Mr. Ruelle has worked for CCTV and Mr. Zhang for Xinhua. It allows them to provide invaluable insights.

The China Institute (www.china-institute.org) is a think tank that focuses on the relationship between France and China and will co-organize the first Sino-French Media Forum in Beijing (February 13th), which will be attended by the most important French media CEOs, their Chinese counterparts and H.E.Ms. Sylvie Bermann, Ambassador of France to China.

LES STRUCTURES CONJOINTES FRANCO-CHINOISES DE RECHERCHE

Pour sa dernière réunion en 2011, le groupe de travail R&D revient sur la convention des structures publiques conjointes franco-chinoises de recherche qui a eu lieu les 28 et 29 novembre 2011 à l'Ambassade de France à Pékin. Cet événement aura permis d'identifier et de rencontrer l'ensemble de ces structures, au nombre de 34, sur tout le territoire chinois. En parallèle, une consultation a été entreprise par le service scientifique de l'ambassade pour identifier de la même manière les acteurs privés de la recherche franco-chinoise en ciblant les entreprises françaises ayant des activités de R&D. Cette réunion sera donc l'occasion de vous présenter ces structures et de réfléchir ensemble aux possibilités de coopération entre centres privés et plateformes publiques.

Les intervenants de cette réunion seront M. Philippe ARNAUD, attaché scientifique à l'Ambassade, qui présentera une vue d'ensemble des plateformes publiques, et M. Floryan DECAMPO, directeur français du laboratoire E2P2 à Shanghai. Ce laboratoire a la particularité d'être la première unité mixte internationale (UMI) du CNRS en Chine, et de regrouper tant des acteurs publics (CNRS, ENS de Lyon, East China Normal University de Shanghai) que privés (Rhodia). M. DECAMPO pourra donc partager les enjeux d'une telle unité et la manière dont Rhodia a pris part à cette collaboration.

Les intervenants sont par ailleurs invités à réfléchir à des thèmes qu'ils souhaiteraient voir abordés dans le cadre du groupe de travail en 2012. Une concertation sera réalisée en fin de séance.

The next M&A Working Group will focus on relevant issues to the listing of foreign-invested entreprises in China. Our guest speaker, Charles Qin, Founding Partner of Llinks Law Offices, will present all the conditions and procedures of IPO and Listing as well as the key points of IPO Examination. A panorama of Sustainable Development Initiatives in China - What are the potential benefits for French and European SMEs?

Matériaux avancés en Chine

Le Groupe de Travail R&D de la CCIFC a le plaisir de vous convier à sa prochaine réunion sur le thème :

Retours sur la mission d'expertise française sur les matériaux avancés en Chine

La commission mixte franco-chinoise scientifique et technologique, tenue à Paris le 30 mai 2011, a permis d'identifier 6 domaines prioritaires pour les deux pays. La thématique «matériaux avancés», parmi lesquels on trouve les matériaux composites, sera un des axes prioritaires de la coopération entre la France et la Chine pour les 3 prochaines années.

Afin d’identifier les possibilités de coopération en ce domaine, une mission de 4 experts français en matériaux composites se déroulera en Chine du 6 au 12 novembre 2011. La mission sera composée des experts scientifiques suivants :

· M. Jacques LAMON - Directeur de recherche au CNRS et responsable du groupe sur la durabilité des matériaux au Laboratoire MATEIS, Unité Mixte de Recherche 5510, à l'INSA de Lyon ;
· M. Jacques RENARD - Enseignant-chercheur à l'ENSMP, ParisTech et responsable du groupe "Comportement Mécanique des Composites, Polymères et Assemblages" au Centre des Matériaux de l'ENSMP, Unité Mixte de Recherche 7633 ;
· M. Philippe BOISSE - Enseignant-chercheur à l'INSA de Lyon, responsable du groupe mécanique des solides et des endommagements au laboratoire LaMCoS (La Mécanique des Contacts et des Solides et de la dynamique des Structures) de l'INSA de Lyon et responsable du programme ANR « Matériaux et procédés » ;
· M. Monssef DRISSI-HABTI - Directeur de recherche à l'IFSTTAR (Institut français des sciences et technologies des transports, de l'aménagement et des réseaux) et responsable du département MACS (Mesure, Auscultation et Calculs Scientifiques).

La visite de plusieurs laboratoires et instituts chinois spécialisés dans le domaine des matériaux avancés dans les villes de Shanghai, Xi'an, Shenyang, Harbin et Pékin, permettra d'identifier les compétences et le potentiel de coopération de la Chine dans le domaine des matériaux composites. Un atelier réunissant un des participants de la mission ainsi que des experts français et chinois est également prévu à Pékin le 30 novembre 2011.

A l'occasion de cette mission, le Groupe de Travail R&D se réunira de manière exceptionnelle le vendredi 11 novembre, offrant l'opportunité aux participants de profiter des observations et des premières impressions des experts. En plus d'offirir un panorama de la recherche chinoise dans le domaine des nouveaux matériaux, cette réunion sera également l'occasion d'échanger de manière informelle sur des problématiques de R&D et sur les opportunités de coopération avec la Chine.

Security regulation and Security audit in China

Over the last years, the Chinese government has started efforts in order to suppress manufacturing, selling and usage of foreign IT products in China. In the first part of our presentation, Mr. Mark Rushton from the European Union Chamber of Commerce will give an insight into Chinese government bodies and recent regulations to promote solely Chinese-owned IP IT systems as well as impacts for foreign-invested enterprises operating in the PRC.

In the second part of the presentation, Mr. Christopher Hock of the audit firm Mazars will speak about the challenges and risks foreign-invested companies face in China in terms of implementing these regulations as well as their enforcement by IT security audits. This includes an introduction into IT audit requirements in China as well as a discussion of practical issues in dealing with Chinese IT security auditors and bridging between Chinese regulatory requirements and international requirements of headquarters in terms of IT security.

Mark Rushton
Mark Rushton has been in China for seven years, previously working as Chief Representative for PA Asia, a Dutch Government Affairs Consultancy, as well as holding jobs at the European Commission-funded EU-China Trade Project, the British trade-related capacity building consultancy, Development Solutions and work for the Economist Intelligence Unit, the consultancy arm of the Economist magazine.

Christopher Hock
As Head of IT (Information Technology) Audit of Mazars China, Christopher has over 6 years of working experience in IT Audit and Internal Control assignments and is Certified Information Systems Auditor (CISA).

He is responsible for planning, performing and managing of IT Audit assignments for numerous sizeable international corporations in a great variety of industries, including service providers of financial institutions. The major clients Christopher has served are BNP Paribas group, Williams Lea (Deutsche Post group), Areva and Dr. Oetker as well as investments and operations of Thales, Air Liquide, Publicis, Schneider Electrics, Nikon, Luzhou Group and Sino-French Life Insurance in China.

Furthermore, Christopher was involved in the design, implementation and effectives testing of SOX compliant Internal Control Systems for several US listed companies.

Update on Social Insurance Law for Foreigners

The CCIFC and the BenCham are delighted to invite you to a breakfast conference to discuss updates on the new Social Security Law.

The Chinese Government has issued a decree ”INTERIM MEASURES FOR PARTICIPATION IN SOCIAL INSURANCES OF FOREIGNERS EMPLOYED IN CHINA, NO 16,” which further explains the implications of this law. This law will come in to effect on October 15th 2011.

Dr. Wang Xiaojun and Warren Zhao will present an update following the decree and answer the topics below:

· Who are considered as foreign workers? Who will pay?

· How will the payment be done?

· Who will pay company or employee pays?

· How can the foreigners use this rule or claim their rights?

· What is the influence of this rule on the future for foreigners working in China?

Dr Wang Xiaojun

Dr Wang Xiaojun is a professor at Remin University in China. She has been working for Renmin University since 1993 as a director and a lecturer. Her field of study is Life Contingency, Risk Analysis and Actual Valuation for Pension Plan, Social Security and Ageing Population. She has published extensively on the subject of Social Security and is considered and expert in this field

Warren Zhao

Warren Zhao is a Principal Consultant for Retirement Actuarial Practice in the Deloitte Consulting based in Beijing. He joined the Deloitte China Firm in June 2011 after spending 8 years in Watson Wyatt (US) and Deloitte US Firm. Overall Warrenhas more than 8 years of working experience on employee benefits.

Cross border technology licensing

To be presented by Guo Min (Senior Tax Lawyer from Gide) and Sébastien Gonnet (Transfer Pricing Economist from NERA) on November 3rd, 2011.

The session will focus on the Chinese tax treatment applicable to the cross-border license of technologies, including the withholding tax liability, the potential business tax exemptions and the economic analysis and documentation related to the transfer pricing aspect.
