Seminar: A new era in China - How to invest and restructure your business in China from a legal and strategic perspective ?

On October 1, 2016, the revised Equity Joint Venture Law, Contractual Joint Venture Law and Wholly Foreign Owned Enterprise Law came into effect. They were supplemented by the Interim Measures on Filing System for Establishment and Change of Foreign-Investment Enterprises (“FIEs”) promulgated by MOFCOM on October 8 and a joint MOFCOM / NDRC Notice of the same date referring to the 2015 Guidance Catalogue as the current “negative list”. If implemented as expected, the new laws will substantially change the current administrative processes for FIEs, the sequence of involved governmental authorities and other relevant aspects.

Foreign companies in China are focusing increasingly on profit protection initiatives and corporate moves to identify new sources of growth. Acquisitions, a new approach to Joint Ventures and the shape up of China and global alliances with Chinese players have proved to be a Key Success Factor to achieve strategic goals that, in the past, were developed organically.

During this event, Mr. Hezel and Mr. Zhao will explain these developments including its impact on your business. Mr. Morcillo will present its views on key corporate trends for 2017 based on feedback from nearly 100 China-based CEOs and InterChina’s own project experience (7 M&A and JV deals closed in the past months).

About the Speakers:

Christoph Hezel is the Chief Representative of Taylor Wessing Beijing office. He is mainly assigned to the firm’s general corporate practice advising multinational as well as medium-sized corporations on their business operations and investments in mainland China. His special focus in this regard is on foreign direct investment, mergers & acquisitions, corporate restructuring as well as on the PRC tax regime. Mr. Hezel advises clients from various industries with an emphasis on pharmaceuticals, medical devices, medical institutions and renewables.

Johnny Zhao is a Senior Counsel of Taylor Wessing and based in Beijing. As a Chinese corporate lawyer, he advises MNCs as well as medium-sized foreign companies in relation to their investments and various operations in China. Besides his specific focus on the pharmaceutical, real estate and retail sectors Mr. Zhao has developed a profound expertise in the automotive industry advising both OEM as well as suppliers in this field. He is a specialist in FDI, M&A and corporate restructuring involving complicated cross-border and domestic transactions. His experience also extends to advising on merger control, competition compliance, corporate governance, trade issues and securitization of Chinese state-owned enterprises by means of overseas IPO.

Eduardo Morcillo is Managing Partner of InterChina. He is living and working in China for over 17  years, focusing in M&A and Investment projects. Mr. Morcillo is also Board of Director of the EU Chamber of Commerce in Shanghai, Board Advisor in 3 JVs and Asia related corporations since 2008. He was also Board Director at CWI between 2014 to 2016, Board Director Member at IMAP between 2010 to 2015.
